1. Acceptance of Terms

By accessing or using our Services, you confirm that:

• You are at least 18 years old
• You are capable of forming a binding contract with Elysian in your jurisdiction
• You will comply with these Terms and all applicable laws and regulations

2. Account Registration and Security

To use our Services, you must:

• Create an account using Google Sign-In or Apple Sign-In
• Provide accurate and complete information
• Maintain the security of your account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities that occur under your account
• Maintain no more than one (1) account at any time

You may not:

• Share your account credentials with others
• Create accounts using automated methods
• Use another person's account
• Create or maintain multiple accounts

3. License and Ownership

Your Content

• You retain ownership rights to the content of your conversations with Auren
• You grant us a worldwide, non-exclusive, royalty-free license to store, process, and display your content solely for the purpose of providing and improving the Services
• We will not use your conversations to train our AI models or share them with third parties for advertising or other commercial purposes

Our Services

• The Services, including all intellectual property rights in Auren, are owned by Elysian
• We grant you a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes
• You may not copy, modify, distribute, sell, or lease any part of our Services

4. Payment Terms

Subscriptions and Auren Gold

• Auren Gold is our premium subscription service that provides enhanced features and benefits
• Subscription fees are charged at the beginning of each billing period through the Apple App Store or Google Play Store
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• You may cancel your subscription at any time through your device's app store settings
• Subscription cancellation takes effect at the end of the current billing period
• No refunds for partial subscription periods unless required by law
• We may modify subscription fees or benefits with 30 days notice

Message Credits

• Message credits are a virtual currency used within the Services
• Credits can be purchased as in-app purchases through the Apple App Store or Google Play Store
• Credits are non-refundable, non-transferable, and cannot be exchanged for real money or monetary value
• Credits have no real-world value and are for use in the Services only
• Message credits are consumed when messages are sent to or received from any character within the Services
• No refunds will be provided if characters within the Services do not respond or decline to engage in conversation
• Unused credits may expire as specified at the time of purchase
• We reserve the right to manage, regulate, control, modify, or eliminate credits at any time
• You acknowledge that we have no liability for the loss or use of credits

Purchases and Refunds

• All purchases are final and non-refundable unless required by law
• Prices are subject to change without notice
• You are responsible for all charges incurred under your account
• Payment processing is handled by the respective app stores and their terms apply

5. Prohibited Uses

You agree not to:

• Use the Services for any illegal purpose
• Attempt to gain unauthorized access to the Services
• Upload malicious code or content
• Harass, abuse, or harm others
• Impersonate others
• Interfere with the operation of the Services
• Attempt to reverse engineer the Services
• Use the Services to develop competing products

6. Service Modifications and Termination

We reserve the right to:

• Modify or discontinue any part of the Services with 14 days notice
• Make immediate changes without notice for security or legal reasons
• Terminate or suspend your account at our discretion if we believe you have violated these Terms
• Terminate your account for any other reason with reasonable notice

If you believe your account was terminated in error, you may appeal by contacting support@auren.app

7. Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELYSIAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

AI Service Disclaimers

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• AUREN IS AN AI-POWERED SERVICE THAT MAY GENERATE INCORRECT, INCOMPLETE, OR INAPPROPRIATE RESPONSES
• YOU WILL NOT RELY ON AUREN'S RESPONSES FOR ANY CRITICAL DECISIONS
• WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI-GENERATED CONTENT
• YOU USE ANY INFORMATION OR CONTENT PROVIDED BY THE AI AT YOUR OWN RISK
• THE AI MAY OCCASIONALLY GENERATE UNEXPECTED, INACCURATE, OFFENSIVE, OR INAPPROPRIATE CONTENT, AND WE ARE NOT LIABLE FOR SUCH CONTENT
• CONVERSATIONS WITH THE AI DO NOT CREATE ANY FORM OF PRIVILEGED OR CONFIDENTIAL RELATIONSHIP
• WE MAKE NO REPRESENTATIONS ABOUT THE AI'S ABILITY TO UNDERSTAND OR RESPOND TO EMERGENCIES OR CRISES

• THE SERVICES DO NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT
• THE SERVICES DO NOT PROVIDE MENTAL HEALTH COUNSELING, THERAPY, OR PSYCHOLOGICAL SERVICES
• THE SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE OR MENTAL HEALTH TREATMENT

Limitation of Liability

IN NO EVENT SHALL ELYSIAN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO:

• ERRORS OR INACCURACIES IN AI-GENERATED CONTENT
• DECISIONS MADE BASED ON THE SERVICES
• LOSS OF DATA OR PROFITS
• SECURITY BREACHES
• SERVICE INTERRUPTIONS
• VIRUSES OR OTHER TECHNICAL ISSUES

ELYSIAN'S TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE PAST SIX MONTHS, OR $100, WHICHEVER IS GREATER.

Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS ELYSIAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES FROM AND AGAINST ANY CLAIMS, DISPUTES, DEMANDS, LIABILITIES, DAMAGES, LOSSES, AND COSTS AND EXPENSES, INCLUDING, WITHOUT LIMITATION, REASONABLE LEGAL AND ACCOUNTING FEES ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR ACCESS TO OR USE OF THE SERVICES OR YOUR VIOLATION OF THESE TERMS.

Force Majeure

ELYSIAN SHALL NOT BE LIABLE FOR ANY DELAY OR FAILURE TO PERFORM RESULTING FROM CAUSES OUTSIDE ITS REASONABLE CONTROL, INCLUDING, BUT NOT LIMITED TO, ACTS OF GOD, WAR, TERRORISM, PANDEMIC, NATURAL DISASTERS, POWER FAILURES, OR INTERNET DISTURBANCES.

8. Dispute Resolution and Arbitration

You agree that any dispute with Elysian will be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

The arbitration will be conducted by JAMS under its rules in San Francisco, California. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@auren.app

9. Geographic Restrictions

The Services are operated from the United States. If you access them from other locations, you do so at your own risk and are responsible for compliance with local laws.

You may not use the Services if you are located in any U.S. embargoed countries or are on any U.S. government restricted parties lists.

All data is stored on servers located in the United States.

10. Changes to Terms

We may modify these Terms at any time by posting updated Terms on our website. Your continued use of the Services after any changes indicates your acceptance of the modified Terms.

For material changes, we will provide notice through the Services at least 14 days in advance, unless we need to make immediate changes for security or legal reasons.

12. Severability
